Terms of Service

1. Agreement to Terms & Eligibility

By installing the Watchwick application from the Shopify App Store, authorizing its connection to your Shopify store, or accessing any services provided by Watchwick ("Watchwick", "we", "us", or "our"), you ("Merchant", "you", or "your") agree to be legally bound by these Terms of Service ("Terms") and our Data Processing Terms.

If you are entering into these Terms on behalf of an enterprise, company, partnership, or other legal entity, you represent and warrant that you have full legal authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you must not install or use the application.

2. Description of the Service & Advisory Nature

Watchwick is an automated operational monitoring, anomaly detection, and guided remediation platform designed specifically for Shopify-led commerce. Key capabilities include:

  • Continuous monitoring of orders, fulfillment orders, inventory positions, payment authorization expirations, refunds, and pricing anomalies.
  • Incident correlation, grouping correlated operational symptoms into unified incidents with actionable evidence timelines.
  • Multichannel alerts dispatched via store dashboard, transactional email, and connected Slack workspaces.
  • Historical velocity baseline learning and store health scoring to identify revenue recovery opportunities.
  • Phase 2 Incident Workbench features including custom tags, saved views, RFC-4180 sanitized CSV/JSON exports, external ticketing references, and standard operating procedure (SOP) runbooks.

Advisory Nature: Watchwick operates as an advisory intelligence and alerting layer. Watchwick highlights potential bottlenecks, delays, and revenue risks based on data received from Shopify. You and your authorized staff retain sole operational discretion to investigate, verify, and resolve underlying store issues.

3. Read-Only Architecture & Platform Safety Guarantee

Watchwick is strictly engineered with read-only principles. The application never requests write_* scopes from Shopify. Watchwick does not write, alter, cancel, refund, restock, or mutate any Shopify store records, orders, product catalogs, or customer accounts. Shopify remains your sole system of record. Because Watchwick cannot execute mutations on your Shopify store, Watchwick cannot corrupt your catalog, cancel valid orders, or disrupt active customer checkout transactions.

4. Merchant Responsibilities & Acceptable Use

As a merchant utilizing Watchwick, you agree to:

  • Maintain an active, valid Shopify account in full standing.
  • Manage appropriate staff access tiers (Admin, Responder, Viewer) within Watchwick and safeguard session credentials.
  • Ensure alert recipient email addresses and Slack connections are accurate and monitored by relevant operational personnel.
  • Not reverse engineer, decompile, copy, or probe the application or attempt to bypass multi-tenant PostgreSQL Row-Level Security (RLS) boundaries.
  • Not transmit malicious payloads, automate abusive rate requests against the service, or use the platform for unlawful, fraudulent, or prohibited commercial activities.

5. Subscription Plans, Billing & Cancellations

All billing for Watchwick subscription tiers ($29 Basic, Professional, Enterprise) is processed natively through the official Shopify Billing API. Charges appear directly on your standard unified Shopify invoice and are subject to Shopify's Merchant Agreement and Billing Terms.

Paid subscription plans include a 14-day free trial period. You may cancel your subscription at any time without penalty or cancellation fees by simply uninstalling Watchwick from your Shopify Admin dashboard. Billing ceases immediately upon uninstallation.

6. Intellectual Property & Data Ownership

Merchant Data: You retain all right, title, and ownership interest in all operational data, store metadata, and content accessed from your Shopify store. Watchwick claims no ownership rights over your store records.

Watchwick IP: Watchwick, its licensors, and Duvvuru Shathwik Reddy retain all rights, title, and interest (including all patent, copyright, trademark, trade secret, and other proprietary rights) in and to the Watchwick platform, software, Quiet Signal design system, algorithms, user interfaces, documentation, and logos.

7. Disclaimer of Warranties ("AS IS" & "AS AVAILABLE")

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE WATCHWICK APPLICATION, SERVICES, DOCUMENTATION, AND ALL DETECTIONS, ESTIMATES, OR ADVISORY RECOMMENDATIONS ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WATCHWICK EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL OPERATE UNINTERRUPTED, ERROR-FREE, OR SECURE FROM ALL DELAYS, OR THAT WATCHWICK WILL IDENTIFY 100% OF ALL OPERATIONAL ANOMALIES, REVENUE LOSSES, OR INVENTORY DIVERGENCES AFFECTING YOUR STORE. AFFECTED ORDER VALUES AND RECOVERY METRICS ARE MATHEMATICAL ESTIMATES AND DO NOT CONSTITUTE A GUARANTEE OF ACTUAL RECOVERED REVENUE.

8. Limitation of Liability

CONSEQUENTIAL DAMAGES EXCLUSION: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WATCHWICK, ITS OPERATOR (DUVVURU SHATHWIK REDDY), AFFILIATES, SUPPLIERS, OR SUBPROCESSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF SALES OR REVENUE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF STORE DATA, CARRIER DELAYS, OR THIRD-PARTY API FAILURES, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MONETARY AGGREGATE LIABILITY CAP: IN NO EVENT SHALL WATCHWICK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO WATCHWICK FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), WHICHEVER IS GREATER.

The parties acknowledge that these limitations reflect a fair and negotiated allocation of commercial risk and that Watchwick would not provide the service at the specified pricing without these limitations.

9. Indemnification by Merchant

You agree to defend, indemnify, and hold harmless Watchwick, its operator, affiliates, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms or applicable laws; (b) your violation of any third-party rights, including privacy or intellectual property rights; or (c) your operational handling, fulfillment, or cancellation of customer orders on your Shopify store.

10. Governing Law, Dispute Resolution & Binding Arbitration

Governing Law: These Terms and any dispute or controversy arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the Republic of India, without giving effect to any conflict of law principles.

Informal Negotiation: Before initiating formal dispute proceedings, the parties agree to attempt in good faith to resolve any dispute informally by providing written notice to legal@watchwick.com. The parties shall consult and negotiate for a period of thirty (30) calendar days.

Jurisdiction & Arbitration: If the dispute is not resolved within thirty (30) days, the dispute shall be resolved through final and binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The seat and venue of arbitration shall be Hyderabad, Telangana, India. The proceedings shall be conducted in English by a sole arbitrator mutually appointed by the parties. Subject to the foregoing arbitration provision, the competent courts located in Hyderabad, Telangana, India shall have exclusive jurisdiction over any legal proceedings arising hereunder.

11. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS AND DISPUTES MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED BASIS. YOU EXPRESSLY WAIVE ANY RIGHT TO COMMENCE OR PARTICIPATE IN ANY CLASS ACTION OR MULTI-PARTY LITIGATION AGAINST WATCHWICK OR ITS OPERATOR.

12. Shopify Platform Disclaimers

Watchwick is developed and distributed independently by Duvvuru Shathwik Reddy and is not sponsored, endorsed, or operated by Shopify Inc. Shopify is not a party to these Terms and bears no legal responsibility or liability for Watchwick's software, availability, security, data processing, or customer support.

13. General Provisions

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire understanding between Merchant and Watchwick regarding the Service.
  • Severability: If any provision of these Terms is deemed invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including acts of God, telecommunication failures, cyberattacks, or upstream provider outages.
  • Modifications: We reserve the right to modify these Terms. Continued use of the application following updated terms constitutes acceptance.

14. Registered Entity & Legal Notices

Watchwick is operated by Duvvuru Shathwik Reddy as a registered Micro Enterprise under the Ministry of MSME, Government of India (Udyam Registration: UDYAM-TS-20-0220111).
